Terms and Conditions

This document sets out the legally binding Terms and Conditions governing all land sales, shareholding arrangements, and investment services provided by Acumen Housing Cooperative Society Limited”

1. Definitions

These Terms and Conditions apply to all land sale, land allocation, and shareholding arrangements facilitated by Acumen. “We,” “us,” and “our” refer to Acumen, while “you” refers to any buyer, investor, or participant. “Services” refers to land sale facilitation, property allocation, investment structuring, and shareholding opportunities offered or managed by Acumen.

2. Nature of Services

Acumen operates as a facilitator of land sales and shareholding opportunities. We connect buyers and investors to available land parcels, group investments, and structured ownership models. We do not guarantee speculative returns, future land appreciation, or investment profits unless explicitly stated in a signed agreement.

3. Land Allocation and Ownership

All land allocations are subject to availability, verification, and completion of payment. Ownership or allocation rights are only confirmed once full payment and required documentation are completed. Where land is part of a larger project or subdivision, allocation may be based on plot numbering, availability, or project structure determined by Acumen or its partners.

4. Shareholding Structure

In shareholding or group investment models, buyers acquire shares representing a portion of land ownership or project interest. These shares define entitlement but may not represent physical demarcation until formal subdivision is completed. All shareholding rights are governed by the project structure, agreement terms, and applicable Kenyan property laws.

5. Payments

Payments must be made according to the agreed purchase plan, whether full payment or installment-based. A deposit may be required to reserve a plot or shareholding position. Failure to complete payments within agreed timelines may result in loss of allocation, penalties, or reassignment of the property.

6. Transfer of Ownership

Transfer of ownership or title documents will only occur after full payment and completion of all legal and administrative requirements. Acumen ensures proper facilitation of documentation, but final issuance of title deeds is subject to relevant land authorities and legal processes in Kenya.

7. Verification and Due Diligence

Clients are encouraged to conduct due diligence before purchase. Acumen provides accurate project information to the best of its ability, but buyers are responsible for confirming suitability before committing. We may provide supporting documents such as land searches, approvals, or project plans where available.

8. Refunds and Cancellations

Payments made toward land or shareholding are generally non-refundable once allocation has been confirmed. Cancellations may be subject to administrative deductions or contractual terms depending on the stage of the transaction. Refund eligibility, if any, will be determined based on project agreements.

9. Client Responsibilitie

Clients are responsible for providing accurate identification details, completing payments on time, and reviewing all documentation before signing. Failure to comply with agreed obligations may result in cancellation or loss of allocation rights.

10. Termination

Acumen reserves the right to terminate or cancel any agreement in cases of fraud, non-payment, misrepresentation, or breach of contract. Clients may also withdraw subject to agreed terms and conditions, including any applicable deductions or penalties.

11. Governing Law

These Terms are governed by the laws of the Republic of Kenya. Any disputes arising from land sales, shareholding, or related services shall be handled under Kenyan jurisdiction. All legal matters shall be resolved exclusively within Kenyan courts or approved dispute resolution mechanisms.
